Important: Waste Referral Network is a commercial referral company. WRN connects businesses with independent environmental-service providers but does not itself transport, possess, store, characterize, treat, recycle, or dispose of waste.
Acceptance of Terms
These Terms & Disclaimer (“Terms”) govern access to and use of WasteReferralNetwork.com and the services offered by Waste Referral Network LLC (“WRN,” “we,” “us,” or “our”).
By accessing the website, submitting a service request, applying to participate in the provider network, communicating with WRN, or otherwise using WRN’s services, you agree to these Terms. If you do not agree, do not use the website or WRN’s services.
The website and WRN’s services are intended primarily for businesses, commercial facilities, environmental-service providers, and adults authorized to act on their behalf.
WRN’s Role
Waste Referral Network LLC is a commercial referral company. WRN helps connect businesses and facilities seeking environmental or waste-related services with independent environmental-service providers that may be interested in evaluating those opportunities.
WRN’s role is limited to facilitating commercial referrals, communications, and introductions. WRN is not the company that performs the underlying environmental or waste services unless WRN expressly agrees otherwise in a separate written agreement.
Services WRN Does Not Perform
WRN does not transport, take possession of, store, package, label, characterize, profile, treat, recycle, or dispose of waste or materials submitted through the website.
WRN does not act as the generator, transporter, treatment facility, recycling facility, disposal facility, or emergency-response contractor for materials or projects referred through WRN.
WRN does not prepare or sign hazardous-waste manifests, shipping papers, waste profiles, certifications, or other regulatory documents on behalf of customers or providers unless expressly agreed in a separate written agreement.
WRN does not make formal hazardous-waste determinations, regulatory classifications, generator-status determinations, or other technical or legal determinations regarding a material or facility.
Independent Environmental-Service Providers
Environmental-service providers introduced through WRN are independent businesses. They are not employees, agents, partners, joint venturers, or representatives of WRN.
Providers independently determine whether they are willing and able to evaluate or perform a project.
The provider—not WRN—is responsible for evaluating the customer’s needs, obtaining technical information, determining service capabilities, characterizing or profiling materials as necessary, determining applicable regulatory requirements, preparing quotations, establishing pricing and scheduling, executing contracts, and performing the environmental services.
Customers contract directly with the environmental-service provider unless otherwise expressly stated in writing.
No Guarantee of Provider Availability or Project Acceptance
Submission of a service request does not guarantee that WRN will identify a provider, that a provider will respond, that a provider will accept a project, or that any particular service will be available.
Provider availability may depend on geography, material type, quantity, packaging, timing, transportation requirements, regulatory requirements, disposal or recycling outlets, insurance, permits, capacity, and other factors.
WRN does not guarantee project pricing, savings, scheduling, acceptance of materials, regulatory outcomes, or completion of any project.
Provider Screening and No Endorsement
WRN may collect information about providers, including service capabilities, geographic coverage, insurance, licensing, transportation models, regulatory information, and other business information. WRN may also review publicly available information or request supporting documentation.
However, an introduction, referral, listing, or participation in the WRN provider network does not constitute a warranty, certification, endorsement, or guarantee by WRN regarding a provider’s qualifications, licenses, permits, insurance, financial condition, regulatory compliance, safety record, service quality, or ability to perform a particular project.
Customers are responsible for conducting any due diligence they consider appropriate before engaging a provider.
Customer Responsibilities
Customers remain responsible for their own environmental, safety, transportation, waste-management, recordkeeping, and regulatory obligations.
Customers are responsible for providing accurate and complete information to WRN and to any provider evaluating a project.
Customers should provide available technical information reasonably necessary for a provider to evaluate the project, which may include safety data sheets, waste profiles, analytical data, photographs, process information, container information, quantities, manifests, or other relevant records.
Customers must review and approve contracts, quotations, profiles, shipping documents, manifests, certifications, and other project documents as appropriate.
Provider Responsibilities
Providers participating in or receiving opportunities from WRN remain solely responsible for determining whether they have the personnel, equipment, permits, licenses, insurance, transportation arrangements, disposal or recycling outlets, expertise, and legal authority necessary to perform a project.
Providers are responsible for complying with applicable environmental, transportation, workplace-safety, hazardous-materials, waste-management, and other legal requirements.
Providers must independently determine whether an opportunity falls within their capabilities and whether they wish to pursue it.
If a provider has entered into a separate Master Provider Agreement, Protected Account Agreement, referral agreement, or other written agreement with WRN, that agreement controls to the extent it conflicts with these website Terms.
Referral Compensation
WRN may receive referral fees, commissions, or other compensation from participating environmental-service providers in connection with successful referrals or completed business.
Unless otherwise expressly agreed, customers contract directly with providers and do not pay WRN for the provider’s underlying environmental services.
The existence of referral compensation does not alter the provider’s responsibility to independently evaluate, price, contract for, and perform the project.
No Environmental, Legal, or Regulatory Advice
Information available through the WRN website, communications, research, referrals, or other materials is provided for general business and referral purposes only.
WRN does not provide legal advice, environmental consulting advice, regulatory compliance advice, engineering advice, waste characterization, or professional environmental determinations.
Information provided by WRN should not be relied upon as a substitute for advice from a qualified environmental-service provider, consultant, attorney, engineer, laboratory, regulatory agency, or other appropriate professional.
Emergency Situations
WRN is not an emergency-response service and does not guarantee immediate response to website submissions, email, or telephone communications.
Do not rely on WRN for spills, releases, fires, exposures, imminent threats to health or safety, or other environmental emergencies. In an emergency, contact appropriate emergency responders, governmental authorities, and qualified emergency-response providers as required by the circumstances and applicable law.
Information Submitted to WRN
You represent that information submitted to WRN is accurate to the best of your knowledge and that you are authorized to provide the information.
By submitting a service request, you authorize WRN to use and share relevant project and contact information with potential independent providers for purposes of evaluating whether they may be interested in the opportunity.
Do not knowingly submit false, misleading, unlawful, confidential, proprietary, or third-party information that you are not authorized to disclose.
Communications
By providing contact information to WRN, you authorize WRN to communicate with you regarding service requests, provider-network participation, referrals, introductions, agreements, and related business matters.
WRN may communicate by email, telephone, or other contact methods you provide.
Prohibited Use
You may not use the website or WRN’s services to engage in unlawful activity, submit fraudulent or intentionally misleading information, interfere with website security or operation, impersonate another person or business, scrape or misuse website content, or attempt to obtain unauthorized access to WRN systems or information.
Third-Party Websites and Services
The website may contain links to or information about independent environmental-service providers, regulators, manufacturers, vendors, or other third parties.
WRN does not control third-party websites, systems, content, services, privacy practices, or business operations and is not responsible for them.
Your dealings with third parties are governed by your agreements and relationship with those third parties.
Website Information and Availability
WRN attempts to maintain accurate and useful website information but does not warrant that all information is complete, current, accurate, or available at all times.
Provider capabilities, territories, personnel, permits, pricing, service offerings, and availability may change without notice.
WRN may modify, suspend, restrict, or discontinue all or part of the website or its services at any time.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND WRN’S REFERRAL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
WRN DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND FITNESS OF ANY PROVIDER OR SERVICE FOR A PARTICULAR PROJECT.
WRN DOES NOT WARRANT OR GUARANTEE THE CONDUCT, PERFORMANCE, QUALIFICATIONS, SERVICES, PRICING, SAFETY, COMPLIANCE, OR RESULTS OF ANY INDEPENDENT PROVIDER.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRN AND ITS OWNERS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE WEBSITE, A REFERRAL, AN INTRODUCTION, A PROVIDER, OR AN ENVIRONMENTAL-SERVICE PROJECT.
WRN IS NOT RESPONSIBLE FOR LOSS OR DAMAGE ARISING FROM A PROVIDER’S OR CUSTOMER’S ACTS OR OMISSIONS, TRANSPORTATION, STORAGE, HANDLING, CHARACTERIZATION, PACKAGING, LABELING, TREATMENT, RECYCLING, DISPOSAL, MANIFESTING, REGULATORY COMPLIANCE, PRICING, SCHEDULING, SERVICE QUALITY, PROPERTY DAMAGE, INJURY, RELEASE, SPILL, OR OTHER PROJECT ACTIVITY.
Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless WRN and its owners, officers, employees, representatives, and affiliates from claims, damages, losses, liabilities, costs, and expenses arising from your violation of these Terms, your unlawful use of the website or WRN services, information you submit without authorization, or your own acts or omissions.
Separate written agreements between WRN and environmental-service providers may contain additional indemnification obligations.
Intellectual Property
The WRN name, logo, website content, graphics, written materials, forms, processes, and other original content are owned by or licensed to Waste Referral Network LLC except where otherwise indicated.
You may not reproduce, distribute, modify, sell, or commercially exploit WRN content without prior written permission, except as permitted by law.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any dispute not governed by a separate written agreement between the parties shall be brought in a court of competent jurisdiction in Florida, subject to applicable law.
Changes to These Terms
WRN may update these Terms periodically. Changes become effective when posted to the website unless otherwise stated.
The “Last Updated” date at the top of this page will identify the most recent revision. Continued use of the website or WRN services after revised Terms are posted constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
